Not legal advice. FDI Compliance Companion (the "Service") is a reference and organisational tool for founders and operators of foreign-direct-investment companies in Bhutan. Nothing in the Service is legal advice, a legal opinion, or a substitute for advice from a licensed Bhutanese attorney.
No attorney-client relationship. Using the Service does not create an attorney-client, fiduciary, or other professional relationship between you and the Service or its operators.
Document templates and AI outputs. Templates provide structured drafting skeletons, not certified filings. The AI Document Checker flags possible gaps against the Labour and Employment Act of Bhutan 2007 and the Companies Act of Bhutan 2016 — it never certifies that a document is compliant, valid, or complete. Always have final drafts reviewed by qualified counsel before signing or filing.
Deadlines and reminders. Compliance dates are computed from the information you provide. They are best-effort scheduling aids, not official notices. You remain solely responsible for verifying and meeting your legal obligations with the CRA, the Department of Labour, NPPF, and any other Bhutanese authority.
No warranty. The Service is provided "as is". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
Terms of Use
Acceptance. By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.
Eligibility. You must be legally able to enter into a binding contract in your jurisdiction and act on behalf of the company whose data you enter.
Your account. You are responsible for keeping your credentials confidential and for all activity under your account. Notify us promptly of any unauthorised access.
Acceptable use. You will not (a) misuse the Service or interfere with its operation, (b) attempt to reverse engineer it, (c) use it to violate law or third-party rights, or (d) upload content you do not have the right to submit.
Your content. You retain ownership of the data, documents, and drafts you upload. You grant us a limited licence to store, process, and display that content solely to operate the Service for you.
Subscription and billing. Paid plans, when enabled, are billed in advance for the stated period. Free trials, when offered, convert to paid unless cancelled before the trial ends.
Termination. You may stop using the Service and delete your account at any time. We may suspend or terminate access for breach of these Terms or to protect the Service or its users.
Limitation of liability. To the maximum extent permitted by law, our aggregate liability for any claim arising from your use of the Service is limited to the amount you paid us in the twelve months preceding the claim. We are not liable for indirect, incidental, or consequential losses, including missed filings, fines, or lost opportunities.
Governing law. These Terms are governed by the laws of the Kingdom of Bhutan. Disputes will be resolved in the competent courts of Bhutan, without prejudice to any mandatory consumer rights.
Changes. We may update these Terms. Material changes will be highlighted in-app or by email at least 14 days before they take effect.
Privacy
What we collect. Account details (email, display name); company data you enter during onboarding (legal name, registration numbers, dates, headcount); documents you generate or submit to the AI Checker; and basic operational logs (sign-in times, error reports).
How we use it. To provide the Service — computing your compliance deadlines, storing generated documents, running AI checks, sending reminders — and to keep the Service secure and reliable.
Sharing. We do not sell your data. We share it only with service providers who help us operate the Service (hosting, database, email, AI inference) under confidentiality obligations, and when required by law.
AI processing. Text you submit to the AI Document Checker is sent to a large-language-model provider for the sole purpose of returning the gap report. Do not paste content you cannot share with a cloud AI service.
Retention. We keep your account data while your account is active. Generated documents and check reports stay until you delete them. On account deletion we remove personal data within 30 days, except where retention is required by law.
Your rights. You can access, correct, export, or delete your data from within the app or by contacting us. If a legal basis for processing applies to your jurisdiction, we honour those rights.
Security. Data is encrypted in transit and at rest. Access is scoped so only you can read your own company records and documents.
